Idi Hydropower to Hold Its First AGM on October 16

Idi Hydropower Company Limited has announced that it will hold its first Annual General Meeting (AGM) on Ashwin 30, 2082 (October 16, 2025, Thursday). The decision was made in the board meeting held on Ashwin 4, 2082. The AGM will take place at the company’s registered office in Pokhara, Kaski, starting at 11:00 AM.

Agenda of the Meeting

The AGM will discuss and decide on both ordinary and special resolutions.

Ordinary resolutions include:

• Approval of the Board of Directors’ report for FY 2081/82.

• Discussion and approval of the auditor’s report, balance sheet, profit and loss account, and cash flow statement of FY 2081/82.

• Appointment of the auditor for FY 2082/83 and approval of remuneration.

• Ratification of decisions made by the Board during FY 2081/82.

• Decisions on directors’ allowances, facilities, and election of board members.

Special resolutions include:

• Increase in authorized, issued, and paid-up capital.

• Change of company name and opening of liaison offices.

• Induction of strategic partners as promoter shareholders.

• Issuance of Initial Public Offering (IPO).

• Granting authority to the Board to amend the company’s Memorandum and Articles of Association as per regulatory instructions for IPO issuance or other required changes.

The company has requested all shareholders to participate in the AGM in accordance with Section 67 (2) of the Companies Act, 2063.
