Asha Laghubitta to Hold 9th Annual General Meeting on Poush 4 in Dhulikhel

Asha Laghubitta Bittiya Sanstha Limited has announced that its 9th Annual General Meeting (AGM) will be held on Poush 4, 2082 (December 19, 2025). The decision was made during the 179th meeting of the Board of Directors held on Mangsir 11. The AGM notice has now been officially published.
The meeting is scheduled to take place at Hotel Arniko Pvt. Ltd., Dhulikhel–6, Kavrepalanchok, starting at 2:00 PM. The institution has requested all shareholders to attend the assembly on the specified date and time.
General Agenda Items
The AGM will discuss and endorse the Annual Report of FY 2081/82 along with the audited financial statements, profit and loss account, and cash flow statements up to Ashad-end 2082. A proposal to distribute 0.5% cash dividend (for tax purposes) from the profit of FY 2081/82—amounting to Rs. 36.65 lakhs—will be presented.
The meeting will also appoint an external auditor for FY 2082/83 and determine the auditor’s remuneration as recommended by the Audit Committee.
Special Agenda Items
One of the key proposals this year is the distribution of 9.5% bonus shares from the paid-up capital of Rs. 73.30 crore.
Additionally, the Board seeks authorization to proceed with potential mergers/acquisitions with other microfinance institutions. This includes conducting a Due Diligence Audit (DDA), appointing a certified valuer, drafting a Memorandum of Understanding (MoU), and completing all necessary procedural steps.
The AGM will also discuss granting authority to the Board to amend the institution’s Memorandum and Articles of Association as per directives from regulatory bodies.
Book Closure & Participation Details
For AGM purposes, the shareholders’ registration book will remain closed on Mangsir 22. Only those shareholders whose names are recorded in the ledger maintained by Prabhu Capital Ltd. as of Mangsir 21 will be eligible to participate and vote in the AGM.
Shareholders attending the AGM must bring their demat account number and an official ID document (citizenship or equivalent).
Those unable to attend in person may appoint a representative by submitting a proxy form at the central office at least 48 hours before the meeting.
