Employees and promoter shareholders are not allowed to sell or distribute ordinary shares allotted to them through the approved prospectus until three years have passed from the date of allotment.

Credit Rating Details

As per the approved prospectus, for the ordinary shares being publicly issued, a credit rating of “CARE-NP BB (Is)” (Double B [Issuer]) has been obtained from Care Ratings Nepal Limited, Putalisadak, Kathmandu, a credit rating institution approved by the Nepal Securities Board, as per the provisions of Rule ३ of the “Credit Rating Regulations, २०६०”. This rating indicates that “Issuers with this rating are considered to offer moderate risk of default regarding timely servicing of financial obligations, in Nepal”. Care Ratings Nepal Limited provides point ratings from CARE-NP AAA(Is) to CARE-NP D(Is). CARE-NP AAA(Is) indicates strong fundamentals, while CARE-NP D(Is) indicates weak fundamentals. The (Plus) sign used in the assigned ratings indicates a relatively positive position compared to the group it belongs to. Detailed information regarding this is mentioned in Clause G.२२ (T) (Page No. ५२) of the prospectus.
