लिन बाँकी शेयरधनी महानुभावहरुलाई अत्यन्त जरुरी सूचना

नेपाल सरकार, उद्योग मन्त्रालय, कम्पनी रजिष्ट्रारको कार्यालयबाट मिति २०७३/०८/०२ मा प्रकाशित सार्वजनिक सूचना बमोजिम कम्पनी ऐन, २०६३ को दफा १८४ ले व्यवस्था गरे बमोजिम लगानीकर्ता संरक्षण कोषको स्थापना, व्यवस्थापन तथा सञ्चालन गर्नको लागि “लगानीकर्ता संरक्षण कोष व्यवस्थापन तथा सञ्चालन कार्यविधि, २०७५” स्वीकृत भई उक्त कोषको स्थापना भईसकेकोले कम्पनी ऐन, २०६३ को दफा १८४ को उपदफा (१) अनुसार लाभांश वितरण गर्ने विषयमा युनाईटेड मोदी हाइड्रोपावर लिमिटेडको साधारण सभाले निर्णय गरेको मितिले ५ वर्षसम्म पनि युनाईटेड मोदी हाइड्रोपावर लिमिटेडको शेयरधनीले बुझी नलिएको आ.व. २०७३/७४, २०७४/७५, २०७५/७६ र २०७६/७७ को नगद लाभांश रकम लगानीकर्ता संरक्षण कोषमा जम्मा गर्नुपर्ने भएको हुदा कम्पनी ऐन, २०६३ को दफा १८४ को उपदफा (१०) तथा लगानीकर्ता संरक्षण कोष व्यवस्थापन तथा सञ्चालन कार्यविधि, २०७५ को दफा ५ को उपदफा (२) तथा दफा ७ को उपदफा (२) समेतको प्रयोजनार्थ यो सूचना प्रकाशित गरिएको छ ।
अतः यो सूचना प्रकाशित भएको मितिले ६० दिनभित्र युनाईटेड मोदी हाइड्रोपावर लिमिटेडको शेयर रजिष्ट्रार सिटिजन्स क्यापिटल लिमिटेड, बाटुलेघर, डिल्लीबजार, काठमाण्डौमा आवश्यक कागजात तथा विवरणहरु सहित सम्पर्क गर्नुहुन यो सूचना प्रकाशित गरिएको छ । अन्यथा उक्त अवधि पश्चात लिन बाँकी नगद लाभांश लगानीकर्ता संरक्षण कोषमा जम्मा गरिने व्यहोरा समेत यसै सूचना मार्फत जानकारी गराउँदछौँ ।
पुनश्चः हालसम्म पनि शेयर अभौतिकीकरण गर्न बाँकी रहनुभएका शेयरधनीहरुले शेयर अभौतिकीकरण गराउनु हुन तथा हितग्राही खातामा बैंक खाता न अद्यावधिक नभएका शेयरधनीहरुलाई आफ्नो हितग्राही खाता (BOID No.) मा बैंक खाताको विवरण अद्यावधिक गराउनु हुन समेत अनुरोध गरिन्छ ।

Very Urgent Notice to Shareholders Who Have Not Claimed Cash Dividends for FY 2073/74, 2074/75, 2075/76 and 2076/77

As per the public notice published by the Government of Nepal, Ministry of Industry, Office of Company Registrar on 2073/08/02, and in accordance with Section 184 of the Companies Act, 2063, for the establishment, management, and operation of the Investor Protection Fund, the “Investor Protection Fund Management and Operation Procedure, 2075” has been approved and the said fund has been established. Therefore, as per Sub-section (1) of Section 184 of the Companies Act, 2063, regarding the distribution of dividends, the cash dividend amounts for the fiscal years 2073/74, 2074/75, 2075/76, and 2076/77 that have not been claimed by the shareholders of United Modi Hydropower Limited even after 5 years from the date of the general meeting's decision to distribute dividends, must be deposited into the Investor Protection Fund. Hence, this notice is published for the purpose of Sub-section (10) of Section 184 of the Companies Act, 2063, and Sub-section (2) of Section 5 and Sub-section (2) of Section 7 of the Investor Protection Fund Management and Operation Procedure, 2075.
Therefore, this notice is published requesting you to contact United Modi Hydropower Limited's Share Registrar, Citizens Capital Limited, Batuleghar, Dillibazar, Kathmandu, with necessary documents and details within 60 days from the date of publication of this notice. Otherwise, we hereby inform you through this notice that any unclaimed cash dividends remaining after this period will be deposited into the Investor Protection Fund.
Furthermore, shareholders who have not yet dematerialized their shares are requested to do so, and shareholders whose bank account details are not updated in their beneficiary account (BOID No.) are requested to update their bank account details.
