एभरेष्ट कलर लिमिटेडले आफ्नो जारी पूँजी रु.३०,००,००,०००/- को २६.३३ प्रतिशत अर्थात रु.७,९०,००,०००/- रकम बराबरको प्रति कित्ता अंकित मूल्य रु.१००/- दरको ७,९०,००० कित्ता साधारण शेयरको १० प्रतिशतले हुने ७९,००० कित्ता नेपाल सरकारको सम्बन्धित निकायको श्रम स्वीकृति लिई वैदेशिक रोजगारीमा रहेका नेपाली नागरिकहरुको लागि, ५ प्रतिशतले हुने ३९,५०० कित्ता शेयर सामूहिक लगानी कोषहरुको लागि र २ प्रतिशतले हुने १५,८०० कित्ता शेयर कम्पनीमा कार्यरत कर्मचारीहरुको लागि बाँडफाँड गरी बाँकी रहेको ६,५५,७०० कित्ता साधारण शेयर मिति २०८३ जेष्ठ २२ गतेदेखि सर्वसाधारणहरुमा निष्काशन तथा बिक्री खुल्ला गरिएकोमा सर्वसाधारण आवेदकहरुबाट माग गरे भन्दा बढि शेयर खरिदका लागि आवेदन प्राप्त हुन आएकोले आज मिति २०८३ जेष्ठ २७ गते (बैकिङ्ग समय पश्चात) सो शेयरका लागि आवेदन लिने कार्य बन्द गरिने व्यहोरा सम्बन्धित सबैको जानकारीका लागि सूचित गर्दछौं ।
यस निष्काशन कार्यमा संलग्न सम्पूर्ण संकलन केन्द्रहरु, C-ASBA सदस्य बैंक तथा वित्तीय संस्थाहरु र तिनका शाखा कार्यालयहरुले यसै सूचनालाई आधिकारिक मानी साधारण शेयरका लागि दरखास्त बुझिलिने कार्य आज मिति २०८३ जेष्ठ २७ गते (बैकिङ्ग समय पश्चात) बन्द गर्नुहुन अनुरोध गर्दछौं ।
यस निष्काशन कार्यमा सहयोग तथा सद्भाव प्रदान गर्नुहुने सम्पूर्ण शुभेच्छुकहरु, लगानीकर्ता आवेदकहरु, C-ASBA सदस्य बैंक तथा वित्तीय संस्थाहरु र तिनका शाखा कार्यालयहरु, नियमन निकाय तथा सम्बन्धित सबै निकायहरुमा धन्यवाद ज्ञापन गर्दछौं ।

स्वीकृत विवरणपत्र मार्फत कर्मचारीहरु र संस्थापक शेयरधनीहरुलाई साधारण शेयर बाँडफाँड भएको मितिले तीन वर्ष पूरा नभएसम्म बिक्री वितरण गर्न पाइने छैन ।
कर्मचारी, सञ्चालकहरु तथा संस्थापक शेयरधनीहरुका एकाघर सदस्यले स्वीकृत विवरणपत्र मार्फत निष्काशन गरिने प्राथमिक सार्वजनिक निष्काशनमा आवेदन दिन पाउने छैनन् ।
क्रेडिट रेटिङ्ग सम्बन्धी विवरण
स्वीकृत विवरणपत्र अनुसार सार्वजनिक रुपमा निष्काशन गर्न लागिएको साधारण शेयरको लागि “क्रेडिट रेटिङ्ग नियमावली, २०६८” को नियम ३ मा भएको व्यवस्था बमोजिम नेपाल धितोपत्र बोर्डबाट अनुमति प्राप्त क्रेडिट रेटिङ्ग संस्था केयर क्रेडिट रेटिङ्ग्स नेपाल लिमिटेड, पुतलीसडक, काठमाडौंबाट क्रेडिट रेटिङ्ग गराई मिति २०८२/०६/०९ मा “CARE-NP BB (IS)” (Double B [Issuer]) प्रमाणपत्र प्राप्त गरेको छ । उक्त रेटिङ्गले "Issuers with this rating are considered to offer moderate risk of default regarding timely servicing of financial obligations, in Nepal" जनाउँदछ । केयर रेटिङ्ग्स नेपाल लिमिटेडले CARE-NP AAA(Is) देखि CARE-NP D(Is) प्वाइन्ट रेटिङ्ग प्रदान गर्दछ । जसमा CARE-NP AAA(Is) ले बलियो आधार जनाउँछ भने CARE-NP D(Is) ले कमजोर आधारहरु जनाउँछ । दिइने विवरण पत्रको दफा ग.२२ (ट) (पृष्ठ नं. ५२) उल्लेख गरिएको छ ।

Notice Regarding Public Issue and Sale Closing of Ordinary Shares
Everest Colour Limited informs all concerned that the application process for the ordinary shares, which were offered for public sale starting from २०८३ Jestha २२, has received applications for more shares than demanded. Therefore, the application process for these shares will close today, २०८३ Jestha २७ (after banking hours). The company's issued capital is रु.३०,००,००,०००/-, of which २६.३३ percent, or रु.७,९०,००,०००/-, worth of ordinary shares at a face value of रु.१००/- per share, were allocated as follows: ७९,००० shares (१० percent) for Nepali citizens working abroad with labor permits from relevant government bodies, ३९,५०० shares (५ percent) for collective investment funds, and १५,८०० shares (२ percent) for employees working in the company. The remaining ६,५५,७०० ordinary shares were offered to the general public.
All collection centers, C-ASBA member banks and financial institutions, and their branch offices involved in this issue are requested to consider this notice as official and close the application submission for ordinary shares today, २०८३ Jestha २७ (after banking hours).

Ordinary shares allocated to employees and promoter shareholders through the approved prospectus cannot be sold or distributed until three years have passed from the date of allocation.
Employees, directors, and immediate family members of promoter shareholders are not eligible to apply for the primary public offering issued through the approved prospectus.
Credit Rating Details
As per the provisions of Rule ३ of the “Credit Rating Regulations, २०६८” for the ordinary shares being publicly issued according to the approved prospectus, a credit rating has been obtained from CARE Ratings Nepal Limited, Putalisadak, Kathmandu, a credit rating institution approved by the Nepal Securities Board. The certificate “CARE-NP BB (IS)” (Double B [Issuer]) was issued on २०८२/०६/०९. This rating indicates that "Issuers with this rating are considered to offer moderate risk of default regarding timely servicing of financial obligations, in Nepal". CARE Ratings Nepal Limited provides ratings from CARE-NP AAA(Is) to CARE-NP D(Is). CARE-NP AAA(Is) indicates a strong foundation, while CARE-NP D(Is) indicates weak foundations. The (Plus) symbol used in comparative positive situations is mentioned in Section G.२२ (T) (Page No. ५२) of the prospectus.
